1. Acceptance of Terms
By accessing or using the Launchpad platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service. Launchpad reserves the right to update these terms at any time, with notice to registered users.
2. Eligibility
You must be at least 18 years old and a resident of a European Economic Area (EEA) country to use the Service. By using the Service, you represent that you meet these eligibility requirements. Corporate investors must be duly incorporated and authorized to invest under applicable law.
3. Investment Risks
Investing in startups and early-stage businesses involves significant risk. You may lose your entire investment. Past performance of any company or campaign does not guarantee future results. Investments are illiquid and may be held for several years before any return is realized. You should only invest amounts you can afford to lose entirely.
4. Campaign Information
Launchpad provides a platform for companies to present investment opportunities. While we conduct due diligence on campaigns, we do not guarantee the accuracy, completeness, or timeliness of any information provided by founders. Investors are responsible for conducting their own research and due diligence before making investment decisions.
5. Escrow & Fund Distribution
All investor funds are held in regulated escrow accounts. Funds are only released to the campaign when the minimum funding threshold is reached. If a campaign fails to reach its minimum threshold by the deadline, all funds are returned to investors in full within 14 business days, minus any applicable processing fees.
6. Fees
Launchpad charges a platform fee of 5% of successfully raised funds, deducted from the campaign total. There are no fees for investors at the time of investment. Secondary market transactions (when available) may incur additional fees as disclosed at the time of transaction.
7. User Conduct
Users agree not to: (a) provide false or misleading information, (b) attempt to manipulate campaign metrics or funding data, (c) use the platform for money laundering or other illegal activities, (d) interfere with the proper functioning of the platform, or (e) impersonate other users or entities.
8. Limitation of Liability
Launchpad acts as an intermediary platform and is not a registered broker-dealer or investment advisor. We do not provide investment advice, recommendations, or guarantees regarding any campaign. Launchpad shall not be liable for any investment losses, inaccurate information provided by campaigns, or failure of funded companies to achieve their stated objectives.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
